1. Introduction and Scope
This Vendor/Seller Agreement ("Agreement") governs the relationship between PakAutoMart, operating the website pakautomart.com ("Platform", "we", "us", "our"), and any individual, sole proprietorship, partnership, or company that registers to list and sell products on the Platform ("Seller", "Vendor", "you"). PakAutoMart is Pakistan's first multi-vendor auto parts marketplace, meaning it functions as an intermediary technology platform that connects independent Sellers of genuine/OEM, aftermarket, and used/reconditioned auto parts with buyers. Except where PakAutoMart expressly sells goods on its own account, PakAutoMart is not the seller of record for Seller listings, and title to, and legal responsibility for, goods sold through Seller storefronts rests with the respective Seller. By applying for or maintaining a seller account, you agree to be bound by this Agreement, the general Terms & Conditions, the Privacy Policy, the Return & Refund Policy, the Shipping & Delivery Policy, the Anti-Counterfeit & Genuine Parts Policy, the Intellectual Property / Copyright Policy, and the Dispute Resolution Policy, each incorporated herein by reference. This Agreement is a legally binding contract under the Contract Act 1872 and, where transactions are conducted electronically, is further governed by the Electronic Transactions Ordinance 2002.
2. Onboarding, Identity, and Business Verification
To open a seller account, an applicant must complete PakAutoMart's onboarding process, which includes submission of valid identity documentation such as a Computerized National Identity Card (CNIC) for individuals and sole proprietors, and, where applicable, a National Tax Number (NTN), Sales Tax Registration Number, business registration or incorporation documents, and bank or payment account details for settlement of proceeds. Sellers operating as companies must additionally provide such SECP registration and filing evidence as PakAutoMart may reasonably require [LEGAL REVIEW NEEDED — specific SECP registration/verification documents and thresholds to be confirmed against applicable Companies Act 2017 requirements]. PakAutoMart reserves the right to independently verify any information or documentation provided, to request additional supporting documents at any time, and to decline, suspend, or revoke onboarding where verification cannot be completed to its reasonable satisfaction. Sellers must also complete storefront/shop setup within the seller dashboard, including business name, contact details, return address, and bank account for payouts, and must keep all such information current and accurate throughout the term of this Agreement. Providing false, misleading, or fraudulent information during onboarding constitutes a material breach of this Agreement and may result in immediate suspension or termination.
3. Commission Structure
In consideration of access to the Platform, its buyer traffic, payment infrastructure, and related services, PakAutoMart charges each Seller a commission calculated as a percentage of the sale price of each item sold, which may vary by product category, and which is disclosed to the Seller at the time of listing and/or displayed within the seller dashboard prior to the sale being finalized. Commission rates, any applicable payment processing fees, listing fees, or other platform charges are set out in the seller dashboard and/or a separate fee schedule made available to Sellers, and are not fixed within this Agreement because they may be revised from time to time by PakAutoMart management. PakAutoMart will provide reasonable advance notice of any change to commission rates through the seller dashboard or by email, and continued listing of products after such notice constitutes acceptance of the revised rates. Sellers are responsible for their own applicable taxes, including income tax and sales tax/GST on goods sold, in accordance with applicable Pakistani tax law, and PakAutoMart may withhold or deduct amounts where required by law.
4. Payout Process and Timing
Proceeds from sales, net of applicable commission, fees, and any deductions for refunds, chargebacks, or claims, are settled to the Seller's registered bank account through PakAutoMart's payment settlement mechanism. Payouts are ordinarily processed on a recurring cycle after an order is confirmed as delivered and any applicable return/refund window under the Return & Refund Policy has elapsed, subject to reconciliation of the Seller's account, resolution of any pending disputes, and verification of bank details. PakAutoMart may withhold payouts, in whole or in part, where an order is subject to an active dispute, suspected fraud, a return or refund claim, a chargeback, or an investigation into a potential breach of this Agreement, until such matter is resolved. Sellers may view a running statement of sales, commissions, deductions, and payouts in the seller dashboard at any time.
5. Listing Standards
Sellers are solely responsible for the content, accuracy, and legality of every listing they publish on the Platform. Each listing must include: (a) an accurate and complete product description, including part number, compatibility/fitment information where applicable, and condition (new, OEM, aftermarket, or used/reconditioned); (b) genuine, unaltered images that accurately represent the actual item offered, free of misleading watermarks, stock photos that misrepresent condition, or third-party branding used without authorization; (c) pricing displayed in Pakistani Rupees (PKR) only, inclusive of all mandatory charges disclosed to the buyer prior to checkout; and (d) accurate, promptly updated stock/inventory levels to avoid overselling. Any illustrative pricing examples referenced in Platform materials are for explanation purposes only and do not represent live prices; actual prices are those displayed by the Seller in a live listing at the time of purchase. Sellers must not list expired, recalled, hazardous, or unsafe parts without clear disclosure, and must comply with all applicable consumer protection standards.
6. Prohibited Items and Conduct
Sellers are strictly prohibited from listing or selling counterfeit, replica, or unauthorized-trademark parts represented as genuine or OEM; stolen, smuggled, or otherwise unlawfully obtained goods; parts lacking legally required documentation, duties, or import clearances; and any item whose sale is restricted or prohibited under Pakistani law. Sellers must not make false, misleading, or unsubstantiated "genuine OEM" or brand-authenticity claims for any product, must not manipulate reviews, ratings, or search rankings, and must not engage in price manipulation, bait-and-switch tactics, or circumvention of Platform transactions to avoid commission. Full requirements on authenticity, sourcing, and anti-counterfeiting obligations are set out in the Anti-Counterfeit & Genuine Parts Policy, which forms part of this Agreement. Violation of this section is treated as a serious breach and may result in immediate suspension, forfeiture of pending payouts pending investigation, removal of listings, and referral to law enforcement where warranted, including under the Pakistan Electronic Crimes Act (PECA) 2016 where conduct involves fraud, impersonation, or unlawful electronic activity.
7. Quality and Authenticity Claims — Seller Responsibility
As between PakAutoMart and the Seller, the Seller bears primary and ultimate responsibility for the truthfulness, accuracy, and legal sufficiency of any representation made regarding the genuineness, brand origin, quality grade, or condition of a listed part, including any distinction drawn between "genuine/OEM," "aftermarket," and "used/reconditioned" categories. PakAutoMart does not manufacture, inspect, or certify Seller inventory and makes no independent warranty as to authenticity except where it expressly states otherwise in writing. Sellers must ensure representations are consistent with the general Disclaimer and the Anti-Counterfeit & Genuine Parts Policy, and must promptly correct or remove any listing found to contain inaccurate authenticity claims.
8. Order Fulfillment Obligations
Sellers must accept and process confirmed orders promptly, pack items securely, and hand over goods to the designated courier/logistics arrangement within the timeframe specified in the seller dashboard and the Shipping & Delivery Policy. Sellers must not cancel confirmed orders without valid cause, must maintain accurate stock to prevent order cancellations due to unavailability, and must cooperate in good faith with buyer inquiries, returns, and exchanges in accordance with the Return & Refund Policy. Repeated fulfillment failures, late shipments, or unjustified cancellations may affect a Seller's account standing, visibility on the Platform, or eligibility to continue selling.
9. Seller-Platform Dispute Handling
Disputes between a Seller and PakAutoMart concerning commissions, payouts, account actions, or interpretation of this Agreement, as well as disputes arising between a Seller and a buyer that require Platform involvement, shall be addressed through the procedure set out in the Dispute Resolution Policy, which Sellers agree to follow prior to pursuing other remedies to the extent permitted by law. PakAutoMart will make good-faith efforts to mediate buyer-seller disputes fairly based on order records, communications, and evidence submitted by both parties, and its determination on Platform-mediated disputes (such as refund allocation) shall be applied to the relevant transaction unless successfully challenged through the applicable dispute or legal process.
10. Suspension and Termination
PakAutoMart may suspend or terminate a Seller's account, with or without prior notice depending on severity, for reasons including but not limited to: breach of this Agreement or any incorporated policy; listing of prohibited or counterfeit items; repeated customer complaints or poor fulfillment performance; fraudulent, deceptive, or unlawful conduct; failure to maintain accurate verification or business information; non-payment of amounts owed to PakAutoMart; or where required by legal or regulatory obligation. Upon termination, pending orders must be fulfilled or lawfully cancelled, and outstanding payouts will be settled after deduction of any amounts owed, held-back reserves for pending disputes, and applicable fees, in accordance with Section 4. A Seller may voluntarily close its account by written notice to PakAutoMart, subject to completion of all pending order obligations.
11. Intellectual Property and Content Licensing
Sellers retain ownership of the product images, descriptions, brand names, and other content they upload ("Seller Content"), but by submitting Seller Content, the Seller grants PakAutoMart a non-exclusive, royalty-free, worldwide license to host, display, reproduce, adapt for formatting/technical purposes, and promote such content on the Platform and in related marketing channels for so long as the listing remains active or as reasonably necessary thereafter. Sellers warrant that they own or hold valid rights to all Seller Content and that it does not infringe any third party's intellectual property rights. Further obligations regarding intellectual property, infringement claims, and takedown procedures are set out in the Intellectual Property / Copyright Policy, which applies to Sellers in full.
12. Compliance with Applicable Law
This Agreement and all sale transactions concluded through the Platform are subject to the Sale of Goods Act 1930 with respect to the sale of goods, the Contract Act 1872 with respect to formation and enforcement of contractual obligations, the Electronic Transactions Ordinance 2002 with respect to the validity of electronic records and signatures, and the Pakistan Electronic Crimes Act (PECA) 2016 with respect to electronic conduct and cybercrime. As PakAutoMart's registered business address is in Lahore, Punjab, consumer-facing aspects of transactions are additionally informed by the Punjab Consumer Protection Act 2005; Sellers and buyers located in other provinces should note that other provinces of Pakistan maintain their own separate consumer protection legislation, which may also apply to a given transaction. Sellers operating as companies remain independently responsible for their own compliance with the Companies Act 2017 and applicable SECP regulations [LEGAL REVIEW NEEDED — specific corporate compliance obligations to be confirmed].
13. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. 14. Amendments
PakAutoMart may amend this Agreement from time to time to reflect operational, legal, or regulatory changes. Material changes will be communicated via the seller dashboard or by email, and continued use of the seller account after such notice constitutes acceptance of the amended Agreement.
